DY.GENERAL MANAGER - GROUP SECRETARIAL

Responsibilities & Key Deliverables

The job will entail handling the secretarial functions for a set of Companies viz. unlisted subsidiaries, associates and joint ventures. There is no element of Legal function in the role.

 

Relevant experience in handling all secretarial compliances of a Company interalia including –

 

  • Sound and through knowledge of Compliances under Companies Act and Rules framed thereunder
  • Ensuing compliance with provisions of Shareholders Agreement, Share Subscription Agreements and JV Agreements
  • Reviewing Agenda, Minutes for Board and General Meetings, Annual Report including Board Report, CSR Report, etc.
  • Conducting Board / General meetings for unlisted subsidiaries, associates and joint ventures including drafting and circulating agenda and minutes within the prescribed timelines.
  • Monitoring compliances and filings w.r.t. Board / General meetings for unlisted subsidiaries, associates and joint ventures
  • Handling Fund Raising activities, Acquisitions, Mergers/ Demergers, etc.
  • Exposure to initial due diligence for exploring IPO potential for unlisted company
  • Implementation of ESOPS / RSUs and management of the same.
  • Corporate actions such as Split of shares, dividend distribution, Buyback of shares, Conversion of convertible securities, etc.
  • Investor relations – Liaisoning with Foreign marquee investors and their legal advisors
  • Liaisoning with authorities such as MCA, SEBI, ROC, NCLT, etc.
  • Filings with Stock Exchanges, ROC, XBRL, etc.

Experience

15+ years of work experience.

Solid work experience in a big Corporate Secretarial Team having shouldered heavy responsible jobs and duties.

Deep involvement and experience in Corporate Secretarial set up of any big organization having associates and subsidiaries.

Industry Preferred

Qualifications

ACS. Additionally, a degree in law is preferred.

General Requirements

  • Good drafting skills, proficiency in PC operation, ability in compiling, editing of data and presentation of reports and statements, and overseeing the activities and familiarization with all secretarial functions.
