Responsibilities & Key Deliverables
As the Manager - Group Secretarial within the Group Finance division at Mahindra & Mahindra Ltd, you will play a pivotal role in ensuring the company's compliance with statutory and regulatory requirements concerning corporate governance. Your key responsibilities will include:
- Overseeing and managing secretarial functions in alignment with the policies of the Group Secretarial division.
- Ensuring timely preparation, verification, and submission of necessary regulatory filings and reports across various jurisdictions.
- Coordinating with internal departments and external stakeholders, including regulatory bodies, auditors, and legal advisors, to facilitate smooth compliance operations.
- Maintaining and updating statutory registers, records, and documentation in accordance with corporate laws and company policies.
- Providing expert guidance and training to team members and management on secretarial and compliance matters.
- Monitoring changes in relevant legal and regulatory frameworks and initiating necessary actions to ensure continual compliance.
- Leading projects related to corporate governance improvements and secretarial process automation.
This role requires meticulous attention to detail, strategic thinking, and the ability to manage multiple priorities effectively, safeguarding the company’s reputation and ensuring operational excellence within the secretarial domain.
Experience
The ideal candidate will have substantial experience in corporate secretarial practices, preferably in a managerial capacity within large, diversified business groups. Key elements of relevant experience include:
- 5-8 years of proven experience in company secretarial functions, preferably in multinational or conglomerate environments.
- Demonstrated expertise in statutory compliance, preparing board meeting documentation, and facilitating shareholder meetings.
- Experience in liaising with regulatory authorities such as the Registrar of Companies, stock exchanges, and other government bodies.
- Proven ability to interpret and apply legislation, regulations, and governance codes relevant to corporate secretarial work.
- Track record of managing teams and driving process improvements in secretarial and compliance functions.
- Familiarity with digital secretarial tools and enterprise resource planning (ERP) systems is advantageous.
Strong communication skills and the capacity to work collaboratively across various business units are essential to succeed in this role.

Qualifications
Qualifications required for the Manager - Group Secretarial position include:
- A degree in Law, Commerce, or Business Administration from a recognised institution.
- Professional certification as a Company Secretary (ICSI) is essential.
- Additional certifications in Corporate Governance, Compliance, or Risk Management will be highly regarded.
- Continuous professional development through workshops, seminars, or relevant courses is encouraged to maintain up-to-date knowledge.
- Proficiency in English and familiarity with legal terminology and documentation.
