Responsibilities & Key Deliverables
Key Responsibilities
Undertaking a primary role, under the supervision of the Head-Corporate/M&A or Senior Lead - M&A, in structuring transactions, drafting and reviewing various types of agreements, term sheets, MOUs, powers of attorney, undertakings, deeds, legal notices, applications and other legal and regulatory documentation, reviewing due diligence reports, undertaking legal research and preparation of legal notes, memoranda and opinions, participating in negotiations and conference calls, coordinating all manner of procedural work relating to the finalization and execution of legal documentation, and generally providing all manner of assistance to the business and the Group Legal business teams, including (but not limited to) in relation to the following:
- M&A related transactions: Joint ventures, acquisition/divestment of shares / assets, technical collaborations, brand acquisitions/license, corporate restructuring, mergers/demergers and the offer and listing of securities;
- Issues relating to relating to company law, securities law, merger control regulations and competition law and other miscellaneous queries from various departments and group companies, and any other work assigned by the General Counsel / President – Legal or Head – Corporate/M&A;
- Any other projects for the developing and enhancing best practices, and knowledge and capabilities within Group Legal or any of the business units.
Metrics:
- Project management skills and ability to co-lead projects with M&A team
- Transactional experience and Agility to implement project steps in stringent timelines
- Ability to lead drafting and negotiation
- Sound legal knowledge and analytical skills
- Ability to assist Senior Lead in legal research
Experience
Atleast 3-4 years.
Industry Preferred
Qualifications
M&A experience at a law firm is a must.
General Requirements
Functional: Independently manage projects and transactions under supervision of Head, M&A Legal. Sound drafting and negotiation skills. Sound knowledge of the relevant aspects of contract law, FEMA and SEBI regulations and company law and a good understanding of best practices in drafting M&A transaction documentation.
